These Terms & Conditions apply to all products supplied by SS Renewable Wholesale Pty Ltd (ABN 49 692 958 339) (“SSRW”, “we”, “us” or “our”) through our website, sales representatives, warehouses, quotations, invoices or other sales channels.

SSRW is a wholesale supplier of solar panels, battery energy storage systems, inverters, electrical equipment, accessories and related renewable-energy products. Unless otherwise agreed by SSRW in writing, our products are supplied for trade and commercial purposes.

By placing an order with SSRW, the customer agrees to these Terms & Conditions.

1. Trade Customers

SSRW primarily supplies products to solar retailers, installers, electricians, resellers and other businesses.

Customers are responsible for ensuring that the products ordered are suitable for their intended application and are compatible with other equipment forming part of the relevant system.

Where products are purchased for resale, the customer is responsible for its own obligations to its end customers, including installation, representations, after-sales service and compliance obligations.

2. Quotations and Orders

All quotations are subject to product availability and remain valid only for the period stated in the quotation.

An order becomes binding once it has been accepted by SSRW.

Once an order has been confirmed, allocated to the customer, dispatched, collected or otherwise processed, it cannot be cancelled, returned or exchanged because the customer changes their mind, incorrectly orders a product, finds an alternative product or no longer requires the goods, unless SSRW agrees otherwise in writing.

SSRW reserves the right to reject or cancel an order where there has been a pricing or product-description error, stock is unavailable, payment has not been received, or SSRW reasonably considers that it cannot fulfil the order.

3. Pricing and GST

Unless otherwise stated, prices quoted by SSRW are exclusive of GST, freight, delivery, installation and other applicable charges.

Prices may change without notice. Once an order has been accepted and paid for, the agreed price will apply unless the parties agree otherwise in writing.

Any promotional or special pricing applies only during the specified promotional period and while stocks last.

4. Payment

Payment must be made in accordance with the terms shown on the quotation, sales order or invoice.

Unless SSRW has approved a trade credit account in writing, full payment must be received before goods are released, dispatched or collected.

For approved credit accounts, payment must be made within the applicable credit terms.

SSRW may suspend further supply, place an account on hold or require immediate payment of outstanding amounts where an account becomes overdue.

5. No Change-of-Mind Returns or Refunds

All sales are final once an order has been accepted by SSRW.

SSRW does not accept returns, exchanges, cancellations or provide refunds or credits because:

the customer changes their mind;
the customer orders the wrong product, model, size, capacity or quantity;
the product is no longer required;
the customer or its end customer changes the system design;
the customer finds the product cheaper elsewhere;
installation cannot proceed because of site conditions or other circumstances unrelated to the product;
packaging has been opened;
the product has been installed, commissioned, connected or used; or
the customer is unable to resell the product.

SSRW may, at its sole discretion, approve a return in exceptional circumstances. Any such approval must be obtained in writing before the goods are returned and may be subject to inspection, freight costs and a restocking fee determined by SSRW.

Nothing in this policy excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

If for any reason you are not completely satisfied with your Product purchase, please contact us via the contact details on our Website. You acknowledge that Products will not be accepted for return after 5 working days of delivery (except for defective Products). Where Products are refunded due to a change of mind, SSRW will charge you an additional re-stocking charge of 15% of the total purchase price of the returned Products.

6. Inspection on Delivery or Collection

Customers must inspect goods as soon as reasonably practicable after delivery or collection.

Any visible freight damage, incorrect quantity, incorrect product or other apparent discrepancy should be reported to SSRW promptly, together with:

invoice or order number;
product model and serial number where applicable;
photographs of the product and packaging; and
a description of the issue.

Customers should not install or commission a product that is visibly damaged or appears to be incorrect.

7. Product Warranty

Products supplied by SSRW may be covered by a manufacturer's warranty.

Warranty periods, conditions, exclusions and claim procedures vary by manufacturer and product. Customers should refer to the applicable manufacturer's warranty documentation.

A warranty claim does not automatically entitle the customer to a refund. Depending on the applicable warranty and circumstances, the available remedy may include diagnosis, repair, replacement of components or replacement of the product.

SSRW may require photographs, serial numbers, installation records, commissioning information, diagnostic information, error codes or other reasonable evidence before processing a warranty claim.

Manufacturer warranties are additional to any rights that cannot lawfully be excluded.

8. Installation and Compliance

Unless expressly agreed otherwise in writing, SSRW supplies equipment only and is not responsible for installation.

The customer is responsible for ensuring that:

products are installed by appropriately qualified and licensed persons;
installation complies with applicable Australian Standards, electrical safety requirements, manufacturer instructions and network requirements;
all necessary approvals are obtained;
equipment is correctly sized and configured;
commissioning requirements are followed; and
installation records and serial numbers are retained.

SSRW is not responsible for damage, malfunction or loss caused by incorrect installation, incorrect commissioning, unauthorised modification, incompatible equipment, misuse or failure to follow manufacturer requirements, except to the extent SSRW is legally responsible.

9. Product Information

SSRW makes reasonable efforts to ensure that product descriptions, specifications, photographs and other information are accurate.

Manufacturers may change specifications, appearance, firmware, packaging or components from time to time.

Customers must verify critical technical requirements before ordering, particularly where compatibility, dimensions, capacity, voltage, phase configuration, communications or certification are material to the installation.

10. Delivery and Collection

Any delivery date or collection date provided by SSRW is an estimate unless SSRW expressly agrees otherwise in writing.

Delays may occur because of freight providers, manufacturers, ports, customs, stock availability or circumstances outside SSRW's reasonable control.

Risk in the goods passes to the customer upon collection or delivery in accordance with the agreed delivery arrangement.

The customer must ensure that an appropriate person is available to receive deliveries and that the delivery location is safe and reasonably accessible.

11. Title to Goods

Legal title to goods supplied by SSRW remains with SSRW until SSRW has received payment in full for those goods and all other amounts owing in connection with the relevant transaction.

The customer must not knowingly create or permit an interest in unpaid goods that is inconsistent with SSRW's ownership rights.

12. Limitation of Liability

To the maximum extent permitted by law, SSRW is not liable for indirect or consequential loss arising from the purchase, installation, resale or use of products, including loss of revenue, profit, business opportunity, electricity savings, incentives or downtime.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

13. Rebates, STCs and Government Programs

Unless SSRW expressly agrees otherwise in writing, SSRW does not guarantee that any particular product, installation or customer will qualify for STCs, rebates, incentives or other government programs.

Eligibility requirements, approved-product lists, incentive values and government programs may change.

The customer and installer are responsible for confirming eligibility and compliance requirements applicable at the time of installation.

14. Website Information

Information published on the SSRW website is general information only and does not constitute electrical, engineering, financial or legal advice.

Product availability, specifications and pricing should be confirmed with SSRW before placing an order.

15. Privacy

Personal and business information provided to SSRW may be collected, used and stored for purposes including processing orders, account administration, delivery, warranty support, customer service, credit management and communications.

16. Changes to These Terms

SSRW may update these Terms & Conditions from time to time.

The terms applicable to an order will generally be those in effect when the order is accepted, unless otherwise agreed in writing.

17. Governing Law

These Terms & Conditions are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the courts and tribunals of New South Wales and applicable Commonwealth courts.
